About the position
Senior Legal Advisor to provide legal advice, including mitigation services to the company's various departments with a specific focus on the investment team and to ensure investment transactions implemented are legally sound and enforceable.
RESPONSIBILITIES
- Participate in Investment and other Committees of relevance as required.
- Provide legal advice and support to various business units.
- Undertaking legal research as required and keep abreast of legislative changes.
- Participating in Investment and other Committees and other fora of relevance as required.
- Instruct and draft briefing material for, external providers of legal services.
- Keep informed and updated of developments in laws and regulations that potentially affect the company and investee companies.
- Provide the company's employees, management, Board and Board Committees, as applicable, with high quality legal and related advice/analyses, tailored to the company's needs.
- Liaise with other parties' legal advisors/representatives as required.
- Support strategic initiatives by providing legal advice to concept papers, MOUs and the like.
- Conduct regulatory, corporate and transaction legal due diligence processes, including the drafting of
- Request for Proposal (RFPs) and scoping the terms of the RFP to procure external legal counsel advisory services.
- Support the Investment team in the process of negotiating transaction terms with potential investee companies.
- Draft, review, negotiate and implement complex contracts ranging from debt transactions and M&A legal principles for equity investment in transactions including infrastructure projects.
- Attend to the closing of transactions by ensuring fulfilment of conditions precedents and implementation of transactions.
- Ensure effective management of relevant documentation.
- Assist in the management of corporate activities in investee companies (if and when required).
- Assist strategic investments department and corporate finance in all legal matters.
- Provide complete set of executed transaction documents, i.e. final signed documents for record keeping and auditing purposes.
EXPERIENCE & QUALFICATIONS
- A post graduate degree in Law.
- An admitted Attorney in South Africa (admissions in other jurisdictions are an added benefit)
- Minimum 5 years relevant post admission experience.
- A solid understanding of equity transactions involving equity and debt including but not limited to corporate finance, leverage finance and project finance
- Experience in the Funds investment industry and rest of Africa is not necessary but an added benefit.
- Rest of Africa exposure will be an added advantage.
- Proven ability to manage multiple projects simultaneously.
- Excellent negotiation and communication skills.
- Demonstrated team collaboration skills.
- Ability to work independently and as part of a team.
