About the position
A Well - Established Law firm Seeks a Senior Commercial Associate in Johannesburg.
Key Responsibilities
The successful candidate will be responsible for, but not limited to:
- Drafting, reviewing, and negotiating a wide range of commercial agreements and legal documents.
- Providing sound legal advice to clients on corporate and commercial law matters.
- Assisting with and managing corporate transactions, including mergers and acquisitions, restructures, and project finance transactions.
- Drafting and reviewing transaction-related documentation, including:
- Sale of Business Agreements
- Sale of Shares Agreements
- Shareholders Agreements
- Partnership Agreements
- Memoranda of Incorporation (MOIs)
- Commercial contracts and related transaction documents
- Conducting legal research and delivering practical, commercially focused legal advice.
- Building and maintaining strong and effective client relationships.
- Ensuring compliance with applicable legislation, including the Companies Act and related regulatory frameworks.
- Managing matters independently while collaborating effectively within a team environment.
Minimum Requirements
- LLB Degree.
- Admitted Attorney of the High Court of South Africa.
- 5-6 years’ post-admission experience in Corporate and Commercial Law.
- Proven experience in corporate transactions, including mergers and acquisitions and/or project finance transactions.
- Strong drafting, negotiation, and analytical skills.
- Demonstrated experience in client engagement and relationship management.
