About the position
Our client, a leading Manufacturing/Production company based in Umhlanga, is looking to fill the temporary position of Junior Lawyer.
Purpose of the Role:
Reporting to the Legal Director. The successful incumbent will be responsible for providing legal advice to group of companies on all legal matters. The successful candidate will be required to perform the full spectrum or related advisory tasks with the aim of ensuring compliance with related legislation, regulations and policies.
Key Responsibilities:
Company Secretarial:
- Assist in preparation of agenda's, attend and prepare minutes of board and committee meetings for various group companies.
- Manage all board related matters/stakeholders for the company.
- Management of all company records and the securities of the group companies.
- Prepare, record and circulate all shareholder and Board resolutions for the company.
- Attend to the administration of the company secretarial function.
Mining:
- Advising on legal matters related to the mines including:
- Mining legislation
- Mining Charters
- The Mine Health and Safety Act
- Liaison with the Department of Mineral and Petroleum Resources (DMPR) and environmental authorities.
All contracts to be reviewed from a legal perspective:
- Drafting, reviewing and negotiating agreements for the group companies.
- Carefully read and identify issues of concern.
- Advise requester of issues identified, and possible solutions thereto.
- Demonstrate experience on a broad range of commercial, banking, engineering and industrial contracts.
Litigation and Review Legal costs:
- Assist in the management of all litigation for group companies.
- Liaise with and manage external counsel on legal services.
- Keep costs competitive and source best legal advice possible.
Establish and maintain a documentation management and control system:
- Set up and regularly catalogue all legal instructions and assist with the administration of the legal department.
- Assist with the management and administration of all IP for the group.
- Assist in the collation and management of all legal accounts on SAP.
Compliance and the updates:
- Ensure that all procedures that are approved are placed on the share portal.
- Conduct training for the various departments from time to time.
- Advising the company on applicable legislation incl. corporate law, competition law, environmental law, explosives, mining, tax and labour law, etc.
- Provide advice to and support the management team and business units in mitigating legal related risks.
- Create and maintain legal framework for the activities of the group with alignment to the company's legal framework.
- Conduct research and develop legal frameworks, analyse local and international trends that could impact the business.
- Comply with all statutory requirements.
- Ensure that deadlines are met, and no penalties are levied against group companies.
Budget:
- Prepare and manage the budget in line with the company's financial policies and procedures.
Qualifications and Experience:
- Grade 12 Senior Certificate
- SAQA Accredited completed LLB Degree.
- LLM Degree advantageous.
- Chattered Institute of Secretaries membership advantageous.
- Minimum five (5) years of post-articles experience in a similar role.
- Previous experience with a large law firm would be advantageous.
- Prior experience in the mining, competition, labour, environmental, commercial and safety law will be advantageous.
- Chattered Institute of Secretaries membership advantageous.
