Reports to-Divisional Executive:Venture Capital and Corporate Finance
Overview:
Oversee & provide guidance on all aspects of deal making,execution & strategic planning related to deal sourcing & negotiating transactions as a member of a [URL Removed] addition,consistently leads transactions from identification,negotiations,closing & monitoring of [URL Removed] Fund Manager will take final responsibility for the transactions as well as managing departmental budgets & targets,the team performance & be the custodian of external stakeholder relationships
Outputs: Business development including customer & stakeholder relationship management:
- Develop BD strategies & plans for the Fund by proactively identifying new opportunities & needs using market & customer intelligence
- Lead the implementation of the BD plan & Strategy
- Cultivate extensive networks within & externally aimed at growing the reputation of the organisation
- BEE financing,private equity,Development Finance Institution,commercial bank financial intermediary arenas
- Develop appropriate customer relationship strategies to deliver the Fund products & services
- Identify key role players & use a variety of techniques to influence and guide towards intended goals
- Lead ongoing road shows/engagements with potential clients/intermediaries aimed at stimulating mkt awareness of products & services
- Champion & contribute to the development of new products & svcs
- Regularly lead participation at conferences promoting products,svcs & interventions to BEE mkt & other stakeholders
- Assume responsibility for generating new business in accordance with targets set in performance contract
Development of operational strategies,policies,procedures & tactics
- Produce the Fund annual BP adhering to the overall direction & guidance provided in the Divisional Strategic plan
- MNG,monitor & report regularly to the Divisional Executive:Venture Capital & Corporate Finance,Exco & other stakeholders on progress made against the KPA's & KPIs' set in the annual BP
- Develop an Operating Manual for the Fund covering the Fund investment process as well as due diligence guidelines,Investment Screening Report templates,Investment Paper templates
- Annually review Operating Manual & operating procedures & implement required changes in consultation with Divisional Executive:Venture Capital & Corporate Finance & Exco.
- Develop & maintain standard financial models used by investment professionals in performance of the transaction appraisals
- Contribute to the development of divisional strategy,policy,procedures & protocols.
- Proactively align cross-functional policies,procedures & protocols within the Fund MNG Division by exploring dependencies & soliciting input
Knowledge Management:
- Facilitate own staff knowledge management by empowering staff to share knowledge & experiences
- Coordinate training programs aimed at ensuring staff members are trained on core competencies e.g. due diligence,financial modelling,term sheets etc
- Champion sharing knowledge at a Divisional level by leading/facilitating workshops on topical issues involving internal & external experts on relevant topics
- Provide ongoing guidance,mentoring & support to investment professionals to the execution of investment proposals & transactions
- Contribute to the establishment of the research database
Portfolio Management:
- Lead the development/growth of the Fund investment portfolio on a sustainable basis by adopting sound investment discipline
- Manage the optimal growth of the Fund investment portfolio in line with performance targets
- Manage the quality of the Fund portfolio within impairment levels acceptable to stakeholders
- Ensure that due diligence files are completed & reviewed either personally/by snr leadership within the Fund before submission outside the Unit
- Ensure that Investment Papers & Financial models are complete & accurate & are reviewed by snr leadership within the Fund before submission
- Oversee project mng of multiple investment teams ensuring that investment professionals/investment teams adhere to agreed execution time frames & submission deadlines
- Ensure that transactions are appropriately structured & that investment structures mitigate the investment risk as far as possible
- Provide mentorship & support in relation to the negotiation of complex transactions.
- Provide leadership in the finalization of transaction documents,especially transactions with above average complexity
- Influence investment decisions at a Divisional level through active participation at Divisional Investment Committee ("FMD") & Portfolio Management Committee
- Lead the presentation of the Fund transactions at the Executive Investment Committee (Exco IC),at the Board Investment Committee level & at the Board of Trustees(where applicable)
- Assume the role of custodian in relation to disbursement of the new Fund deals by ensuring that the disbursement processes & controls are adhered to,to facilitate timeous disbursement of investments whilst mitigating investment risk to the organisation
- Perform the duties of a non-executive director on the Boards of selected investee companies
People & General Mng:
- Mng performance f/back & implement consequence mng
- Develop work plans & allocation of work,ensure output from the team is of an acceptable std
- Mng staff performance continuously to ensure max productivity,projects delivery & high staff morale
- Identify skills gaps & provide training & development opportunities for teams
- Resolve concerns raised by team members & escalate when required
- Prepare a budget for the department based on strategy & manage the execution of the budget
- Participate in various committee structures to add value in achievement of the mandate
- Monitor adherence to systems & internal controls in the department
Exper & Skills Required:
Essential/Min Requirements:
- Min of 10 years' experience in the BEE financing/private equity/structured finance and DFI areas
- Min of 3 years/plus in a snr level & leadership capacity
- Have a working knowledge of SA Corporate law including the Companies Act,Income Tax Act
- Proven track record of leading the execution & closing of BEE & private equity transactions
- Strong technical & industry knowledge of the BEE financing market including understanding of evolution of BEE financing & BEE Codes of Good Practice
- Strong technical knowledge of BEE financing structures,equity investments & mezzanine financing structures
- Strong technical knowledge in corporate finance disciplines such as valuation techniques
- Deep understanding of financing documents such as sale & purchase agreements, shareholders agreements,funding documents etc
- Exper in negotiating complex investment structures & related investment agreements
- Well-developed business networks within the BEE investment community and SA financial mkts
- Proven ability to generate deal flow

Preferred Experience/Skills:

Qualification Requirements:
- Post graduate degree in Finance,accounting and/or tax & auditing
- CA (SA)/MBA or relevant Master's degree qualifications will be advantageous
