About the position

To be a strategic adviser to the Company business units through the delivery of high-quality advice in the area of Ethics and Governance ensuring the efficient operation of the Bank's decision making mechanisms. The role will provide specialist advice and support to the Corporate Secretary on matters of ethics and corporate governance.

QUALIFICATIONS

• Minimum Requirements

• At least a post graduate qualification in either law, finance, audit or accounting background;

• Desirable Requirements

• A registered Ethics Officer

EXPERIENCE

• Minimum Requirements

• 4-7 years' experience in implementing business ethics management, corporate governance, law, or a relevant discipline such as enterprise risk management and internal control, accounting or audit;

• Experience in risk management, ethics investigations, ethics management, anti-corruption- Good understanding of ethical concepts and theories- Knowledge of latest trends and initiatives impacting ethics and anti-corruption

• Demonstrated experience in providing technical advice to internal and external stakeholders on ethics

• Good working knowledge of statutory and regulatory environment

• Desirable Requirements

• Experience in ethics and anti-corruption working within the financial services

• Active participation in ethics management forums;

• Experience regulated private sector environment preferable.

JOB DUTIES / RESPONSIBILITIES:

Ethics Advisory & Stakeholder Management

• Working with and advising business units to ensure that all business of the Company is conducted in accordance with the Bank's statutory powers, internal processes, and other relevant legislation and regulations;
• Advise the Corporate Secretary on the Company's approach to Ethics across the business units to ensure compliance with the Bank's founding statutes, delegation of authority framework, the Code of Ethics and other governance policies approved by the Board of Directors;
• Educating the business units in ethics related issues and raising awareness levels across the businesses;
• Managing relationships with, executive and senior management and other external stakeholders.
• Ensure the code of ethics and ethics policies are in place,
• Build and maintain effective relationships with key internal and external stakeholders
• Work with the Executives of the banks divisions to ensure that all policies in the divisions address ethics and adhere to the corporate governance practices.
• Advise and work with members of the business units to identify and develop appropriate and effective governance structures for effective decision-making within the Group

Risk Management

• Identify ethics risks and opportunities to establish and maintain the banks ethical culture
• Assess the levels of awareness and perceived effectiveness of ethics management interventions within the bank and make recommendations
• Conduct ethics risk assessment, review the code of ethics and related policies, establish and enhance systems and process for effective ethics management
• Develop and maintain confidential procedures for the handling and processing of complaints and allegations with respect to ethical wrongdoing or conflict of interests
• Conduct ethics research and promote a high standard of professional ethical conduct
