About the position

An opportunity has arisen for an experienced governance professional, currently serving within a large SOE or major public sector entity, to join the Office of the Company Secretary in a strategic support role to the Board and its Committees.

The position provides direct support to the Board and its Committees, ensuring that governance processes are executed with precision, compliance, and professionalism.

Key Responsibilities

Board and Committee Governance

  • Provide professional secretariat support to the Board and its Committees.
  • Assist with the preparation and coordination of Board and Committee meeting packs and ensure timeous circulation to Directors, Committee members, and management.
  • Draft and maintain the annual schedule of Board and Committee meetings.
  • Prepare accurate minutes and maintain proper records of proceedings and resolutions.
  • Monitor and follow up on the implementation of Board and Committee resolutions.

Corporate Governance Support

  • Support the Company Secretary in advising the Board and Committees on corporate governance matters and statutory compliance.
  • Assist in ensuring alignment with governance frameworks and regulatory requirements applicable to public sector entities.
  • Contribute to the development and maintenance of governance policies, charters, and frameworks.

Board Administration

  • Facilitate the annual Board and Committee evaluation processes.
  • Coordinate the submission of Directors' declarations of interest annually and as required.
  • Assist with onboarding and governance support for Board members.

Minimum Requirements & Competencies

  • A relevant Bachelor's degree in Law, Governance, or Corporate Administration.
  • CGISA qualification or progress towards completion
  • Admitted as an Attorney/Advocate
  • At least 8 years' experience in corporate governance or company secretariat functions, with 5 years at supervisory level, within a large public sector organisation or State-Owned Entity.
  • Strong knowledge of corporate governance frameworks, legislative compliance, and Board administration.
  • Proven analytical and problem-solving ability.
  • Excellent communication, report writing, and presentation skills.
  • Ability to operate in a high-pressure, deadline-driven governance environment.
  • Strong stakeholder management and collaboration skills.
  • High level of professional integrity, discretion, and attention to detail
