About the position

The company seeks to employ an COSEC Administrator to provide the required administrative support to the secretariat and risk management functions.

RESPONSIBILITIES:

  • Support in ensuring compliance of the provisions of Companies Law and other regulatory frameworks including the timeous filing of all statutory forms for all transactions requiring registration with CIPC in line with regulatory requirements;

  • Assist with the arrangement and preparation of Board Meetings, notices of meetings, agendas, record of proceedings and minute taking;

  • Assist with the preparation of Annual Reports and Annual General Meetings;

  • Prepare official documents for signatures on the company's behalf when authorised by the broad of the directors or the executive responsible;

  • Update and/or generate corporate structure charts as and when required;

  • Provide support in the preparation of the annual calendar;

  • Ensure that all logistics of meetings are in place, including travel, caterings & accommodation where necessary;

  • Ensure approved minutes are signed and saved accordingly;

  • Ensure that annual returns are logged accordingly;

  • Assist with KYC, due diligence and audit requirements / submissions;

  • Provide the required administrative support in the appointments of new directors, onboarding process & termination process;

  • Follow up with internal functionaries on all required submissions;

  • Attend meetings as and when required to minute the proceedings on behalf of the Secretariat, including reporting at such meetings as required by the Secretariat;

  • Assist in the management of the remuneration of the Board members ( fee calculations, record keeping, submissions to finance)

  • Implement and maintain a filling system for physical and electronic data;

  • Communicate and liaise with regulatory and external bodies as required;

  • Maintain and up date statutory books, including registers of members, directors and secretaries

QUALIFICATIONS & EXPERIENCE:

  • Diploma or degree in Business Administration, Law or a related field
  • Background in CIPC processes & statutory requirements
  • Proficiency in iBoardpacks
  • Strong understanding of the Companies Act & Corporate Governance
  • Proficiency in Microsoft Office (Word, Excel, Outlook)
  • 3-5 Years solid administration experience in a COSEC or Governance Department.
  • A solid understanding of the infrastructure investment industry.
  • In-depth company secretarial administrative experience in a listed company.
