About the position
Assistant Company Secretary Role Purpose
The incumbent will be responsible for providing comprehensive company secretarial services to the Guardrisk Group of Companies. This role ensures that all legal entities within the Group comply with statutory, legal, and governance requirements while contributing to the continuous improvement and optimisation of departmental processes. The individual will manage minute-taking and administrative functions for operational and management committees and assist the Company Secretary with corporate legal matters, governance frameworks, communication, training, and reporting obligations.
Key Outputs and Responsibilities
Internal Processes
- Compile and prepare documentation for various forums and committee meetings, including operational and management meetings.
- Draft agendas in consultation with Chairpersons and liaise with committee members.
- Attend meetings, record accurate and professional minutes, and prepare draft minutes for Chairperson approval.
- Assist with drafting and executing company resolutions.
- Maintain statutory and secretarial records (manual and electronic), including filings with the CIPC.
- Ensure compliance with the Companies Act, governance codes, and all relevant legislation.

Qualifications and Experience
- CGISA qualification (advantageous).
- Strong understanding of corporate governance, insurance, and financial services industries.
- 1–3 years’ experience in company secretarial administration.
- Excellent verbal and written communication skills.
- Computer literate with proficiency in relevant office and governance software.
