About the position

Position: Assistant Company Secretary

Purpose:
The purpose of this position is to act as a company secretary in respect of a number of entities in a portfolio. It includes ensuring compliance with statutory and regulatory requirements and providing efficient administration to the relevant subsidiaries.

Report to: The Manager Secretariat or the Group Company secretary
(as the case may be)

Qualifications: In order of preference:

  • LLB degree and/or BCom (Law) degree and/or Corporate Law Diploma.
  • CIS qualification from ICSA and/or Chartered Governance Professional .
  • A recognised Diploma in Company Secretaryship (or similar qualification).
    Experience and expertise required: Essential requirements for this position:
  • Minimum of four years' experience as an assistant company secretary.
  • Minute- or report-writing experience in English.
  • A thorough understanding of the 2008 Companies Act and Companies Regulations.
  • Deep knowledge of the fourth King Code of corporate governance and its relevant principles.
  • Knowledge of CIPC filings.
  • Extensive knowledge of business administration as it pertains to company secretarial duties, as well as legal, corporate governance and commercial risk management principles.
  • Working expertise of Microsoft Word and Excel and own typing skills.
    Other experience and expertise that would be beneficial:
  • Business and Financial acumen.
  • Experience in communicating across a broad spectrum of occupational levels in a corporate (written and verbal).
  • Experience in a listed company environment and knowledge of the JSE Listings Requirements.
  • Experience of corporate actions (mergers & acquisitions) and their implementation.
  • Working knowledge of OnBoard board-pack system or similar systems.
  • Position overview:
  • The incumbent in this position is responsible to perform the full range of company secretarial duties for a portfolio of subsidiaries within the group. The individual will be accountable for ensuring that the companies in his/her portfolio comply with all applicable financial and legal requirements, as well as with all relevant best-practice codes, and to maintain a high standard of corporate governance. The individual must provide governance advice as and when required, and must attend to the statutory records and other secretarial functions of the companies in his/her portfolio.
    Duties include, but are not limited to the following:
  • Prepare agendas and papers for board meetings and committees and publish these on the OnBoard application.
  • Responsible for all logistical arrangements pertaining to meetings, including venue booking and preparation as well as catering, etc.
  • In general provide comprehensive practical support to directors.
  • Attend board, audit and other ad hoc committee meetings, take minutes and manage the conduct of the meetings.
  • Provide the directors with detailed guidance to properly discharge their responsibilities in the best interests of the company.
  • Ensure compliance with all applicable legislation, statutes, regulations and relevant best practice codes.
  • Draft resolutions.
  • Lodge required statutory forms and annual returns.
  • Maintain electronic statutory books, including registers of members, directors, and secretaries.
  • Deal with correspondence, collate information and write reports, communicate decisions to relevant company stakeholders, and in general engage with divisional and corporate management to ensure that the portfolio of companies is managed efficiently.
  • Attend to ad hoc assignments.
  • Deal with queries relating to records of entities in the portfolio.
  • Undertake corporate actions (acquisitions/sale of entities) relating to companies in the portfolio and their implementation into the group, including due diligence assessments, and assist the Group Company Secretary with general mergers and takeover activities (when required).
  • Assist with the statutory compliance of any foreign subsidiaries in the portfolio (if any);
  • Liaise with external regulators and advisers and service providers.
  • Maintain the register of beneficial share-owners and monitor changes in ownership of the companies in his/her portfolio for reporting to CIPC.
  • Work with other colleagues to ensure that the strategic goals of the company Secretariat are achieved.
  • Maintain work of high quality with a focus on detail and minimising of errors.
  • Keep abreast of changes and developments in the broader regulatory environment and communicate any key developments and their impact to the company Secretariat and to the relevant companies in the portfolio.
    Skills and attributes required:
  • Honesty and unquestionable ethical conduct, coupled with professional behaviour and a neat good appearance.
  • Discretion and EQ to handle confidential and sensitive information.
  • Good (above average) verbal and especially written communication skills in English.
  • The capability to work with and understand numerical information (with a working understanding of the principles of financial statements).
  • Efficient organisational and time management skills (deadline orientated and prioritisation of work) and ability to perform under pressure.
  • A focus on the needs of customers and the provision of quality service to the internal customers within the portfolio.
  • A focus on attention to detail in executing all tasks.
  • Logic, rationality and objectivity in decision making.
  • Inter-personal skills to engage efficiently with people at all levels, coupled with the necessary tact, diplomacy, politeness and discretion, and conduct to prevent sources of conflict.
  • The ability to work positively in a team environment and to act as an ambassador for the company Secretariat.
  • A drive for personal development and to progress professionally.
