About the position
Our client is currently looking for an experienced Assistant Company Secretary to support the Group Company Secretary.
Their business focuses on the South African and African financial services industry and businesses that deliver exceptional returns on equity. It is listed on the Johannesburg Stock Exchange.
It is a leading provider of financial services, covering the full spectrum of fiscal needs, such as life insurance, health care, asset management, general financial services, short-term insurance, property and banking.
PURPOSE OF THIS ROLE
To assist the Group Company Secretary in respect of statutory company secretarial and ancillary services to the UBI Group as required by the Companies Act, King IV and JSE Listings Requirements.
To be responsible for all CIPC interface on behalf of the Group and administer various Trusts within the business.
To be responsible for keeping up to date all share registers and share records of Group companies and its subsidiaries.
Minimum Requirements:
- A minimum of three-year degree in relevant field (e.g., BCom, B Proc, LLB with courses in company law, corporate governance) or a post graduate Diploma or equivalent in Corporate Governance related qualification.
- Certification with the Institute of Chartered Secretaries will serve as an advantage
- Admission as an attorney or advocate of the High Court of South Africa will serve as an advantage
- At least three (3) years' experience in a corporate secretariat environment is essential
- Well versed in CIPC administrative requirements and Beneficial Ownership (BO reporting requirements
- Experience in the maintenance of share registers is essential
- Experience in the Administration of Trusts and filings at the Master of the High Court would be an advantage
- Working knowledge/experience in the financial services industry regulations would be an advantage

Responsibilities:
- Responsible for supporting the Group Company Secretary in all secretarial and statutory functions and duties in terms of common law and the Companies Act in respect of all companies in the well-established group and trusts related to the well-established group;
- Assist in ensuring that each board is aware of and each company complies with all legislative and corporate governance requirements and best practice;
- Ensure effective and efficient management of all logistical arrangements pertaining to board/committee/trustee activities;
- Keep each Group company and subsidiaries' share registers and share records up to date;
- Act as the custodian of CIPC compliance and Beneficial Ownership (BO) reporting;
- Actively track and provide support and administrative services to all Trusts in the Group;
- Provide support to the Group Company Secretary in preparing agendas, recording, circulating minutes and adherence to group policies;
- Assist in ensuring the timeous distribution of board and committee documentation and minutes;
- Champion corporate compliance and good governance including application of and reporting on the King IV code on corporate governance;
- Advise each board and each business by providing pro-active support and advice on corporate governance and regulatory/statutory
