About the position
The Junior Company Secretary, Governance and Legal Assistant will play a crucial role in ensuring compliance with legal and regulatory requirements, supporting the governance framework, and providing assistance to the legal department. This position requires a meticulous individual with strong organizational skills, a keen eye for detail, and the ability to work effectively in a fast-paced environment.
Key Responsibilities:
Corporate Governance Support:
- Assist in organizing and preparing materials for board, shareholder and committee meetings, including agendas, minutes, resolutions, and presentations
- Maintain accurate records of minutes of board and shareholder meetings and resolutions, and corporate governance documents
- Monitor compliance with corporate governance policies, procedures, and regulatory requirements
- Coordinate with internal stakeholders to ensure timely completion of governance-related tasks
Company Secretarial Duties:
- Act as the primary point of contact for company secretarial matters, both internally and externally
- Maintain statutory registers and ensure compliance with filing requirements with relevant regulatory authorities
- Assist in the preparation and filing of statutory returns, resolutions, and other legal documents
- Facilitate the incorporation of new entities and manage the dissolution process for entities as required
Legal Assistance:
- Provide administrative and research support to the legal department, including drafting legal documents, contracts, and agreements
- Conduct legal research on various matters and assist in the preparation of legal opinions and memoranda
- Assist in managing legal correspondence, document management, and contract databases
- Support the legal team in responding to legal inquiries and liaising with external counsel when necessary
Qualifications:
- Bachelor's degree in Law, Business Administration, CIS or a related field. A legal qualification or company secretarial certification is preferred
- Proven experience in a similar role, preferably within a corporate or legal environment
- Strong understanding of corporate governance principles and legal requirements
- Excellent organizational skills with the ability to manage multiple tasks and priorities effectively
- Proficiency in MS Office Suite and familiarity with legal research tools and databases
- Exceptional written and verbal communication skills, with a high level of attention to detail
- Ability to maintain confidentiality and handle sensitive information with discretion
- Strong analytical and problem-solving abilities, with a proactive and solution-oriented mindset
- Ability to work collaboratively in a team environment and independently with minimal supervision
